RavenDB AI Assistant Terms of Use

The Gen AI functionality provided through our Service relies on third-party artificial intelligence service providers, which may be changed or replaced from time to time ("AI Providers"). Your use of Gen AI features is subject to: (a) the terms of service, usage policies, and acceptable use policies of our AI Providers; (b) the availability, performance and reliability of third-party AI services; and (c) changes, modifications, or discontinuation of AI Providers’ services.

By using the Service you agree to comply with all applicable terms and conditions of our AI Providers. We reserve the right to modify, suspend, or discontinue any Gen AI features if required by our AI Providers or if third-party services become unavailable.

You acknowledge that we act solely as an intermediary between you and the AI Providers and have no control over the content, accuracy, or data handling practices of such AI Providers.

You acknowledge and agree that: (a) all data, content, prompts, and information you submit to Gen AI features ("Input Data") will be processed through our systems and transmitted to third-party AI Providers; (b) we may retain and store all Input Data and Gen AI-generated outputs ("Output Data") that pass through the Service in accordance with our privacy policy; (c) Input Data and Output Data may be used for service improvement, quality assurance, compliance, analysis and operational purposes; and (d) we maintain logs and records of your Gen AI usage. You are the owner of all Input Data and Output Data. We will not use Input Data and Output Data to train AI model training.

You understand and acknowledge that: (a) Third-party AI Providers may use submitted data in accordance with their own policies, (b) You should NOT submit confidential, proprietary, sensitive, or personal information to Gen AI features; and (c) You are solely responsible for determining what information is appropriate to submit.

Due to the nature of third-party AI services, we cannot guarantee the confidentiality of any Input Data and Output Data or any other information submitted to Gen AI features. You waive any expectation of confidentiality regarding Input Data submitted to Gen AI features.

You hereby grant us and our AI Providers a worldwide, royalty-free, irrevocable, sublicensable license to process, reproduce, and use such Input Data and Output Data as necessary to operate, improve, and maintain the Service. Without derogating from the foregoing, we may reproduce or use Input Data or Output Data for service improvement, compliance, and monitoring purposes.

You represent and warrant that you own or possess the necessary rights to the Input Data to enable your use thereof as part of the Service. Further, you are responsible for ensuring that your use of Input Data and Output Data complies with all applicable intellectual property and data protection laws.

Ownership: All rights, titles and interest, of any kind whatsoever, in connection with or relating to the Service (and any and all improvements, modifications, updates and derivative works thereof), including but not limited to intellectual property rights (including without limitation, patents, inventions, copyrights, works of authorship, trade secrets, trademarks, trade names, service marks, logos, or other identifying words or images, technical information, data, know-how, designs, drawings, utility models, mask works, specifications, formulas, methods, techniques, processes, databases, software, code, algorithms, architecture, records, documentation, research results, study results and any other similar intellectual and industrial property), in any form and embodied in any media, whether capable of protection or not, whether registered or unregistered, and including all applications, registrations, renewals, extensions, continuations, divisions or reissues thereof, as well as any moral rights, rights of privacy, rights of publicity and similar rights, and all confidential information of ours, are exclusively owned by us (collectively, the “RavenDB’s Property”). You hereby acknowledge that you has no rights of any kind in RavenDB’s Property (other than the right of use hereunder, set forth in Section 2 above), and there terms does not transfer any rights in RavenDB’s Property to you.

Feedback: You may from time to time provide Feedback (as defined below) to us. Both parties agree that all Feedback are and shall be given entirely voluntarily, and such Feedback shall be exclusively owned by us and shall be considered as RavenDB’s Property. Feedback, even if designated as confidential by you, shall not, absent a separate written agreement, create any confidentiality obligation for us. Furthermore, we shall be free to use, disclose, reproduce, license or otherwise distribute, and exploit the suggestions provided to it as it sees fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise. “Feedback” means comments for improvements or modifications or other feedback which you may time to time provide use concerning the Service.

GEN AI FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not guarantee that the use of Gen AI features complies with any AI-specific or data protection laws.

To the maximum extent permitted by law, we shall not be liable for any damages, losses, or harm arising from: (a) the accuracy, reliability, or quality of Gen AI outputs, (b) your reliance on AI-generated content, (c) actions taken based on Gen AI outputs, and (d) third-party AI Provider service interruptions, errors, or failures.

We shall not be liable for any unauthorized access, disclosure, or exposure of Input Data or Output Data by third-party AI Providers or other parties.

In no event shall our total liability for all claims relating to Gen AI features exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or reputation, even if advised of the possibility of such damages.

You acknowledge that third-party AI Providers may have separate and independent limitations of liability. We are not responsible for the actions, omissions, or policies of any AI Provider.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of these terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
